Start-up and Venture Capital Investments

We provide legal support to start-ups and investors throughout the entire lifecycle, from incorporation to exit. This includes company formation and drafting of articles of association, preparation of shareholders’ agreements (SHA), employee stock option plans (ESOP), SAFE and convertible note instruments, seed through Series A/B/C and later funding rounds, due diligence processes, share transfers, capital increases, and the negotiation and drafting of financing agreements on behalf of both founders and investors.

We also assist venture capital and private equity funds with their establishment and structuring in Türkiye, obtaining Capital Markets Board (SPK) approvals, portfolio investments, share or asset acquisitions, and exit transactions. We draft and negotiate balanced investment terms (management rights, drag-along/tag-along, liquidation preferences, non-compete clauses) and represent clients in mergers, sales, and IPO preparation processes.

In addition, we offer ongoing counsel on day-to-day corporate governance, board and general assembly procedures, employee incentive schemes, competition law matters, and corporate restructurings.
